By-Laws of the Merion Village Association

ARTICLE I. MEMBERSHIP

A) Membership privileges shall be granted upon payment of dues. Voting privileges for new members will commence 30 days from payment of dues.
B) Membership dues are due and payable to the Treasurer at the January meeting for the current calendar year. Members joining after October 1 will carry over through the next calendar year.
C) Membership dues are as follows:
1. Individual Membership - Minimum of $15.00
2. Household Membership - Minimum of $25.00
3. Business/Organization Membership - Minimum of $35.00

ARTICLE II. VOTING

A) Each member shall have one vote. A simple majority of those present and voting, at any duly called meeting of the Association will decide all matters other than Amendments to the By-Laws.
B) The Secretary shall account for the number of voting members and visitors at each duly called meeting. Members should be able to produce a current membership card to verify voting privileges.
C) Secret ballots will be used for the election of officers at the November meeting. Ballots are to be prepared and distributed by the Secretary.
D) Proxy votes are not allowed.

ARTICLE III. MEETINGS

A) Regular Meetings. There will be regular meeting so the Association held at such time and place as may be determined by the Association.
B) Special Meetings. Special meetings of the Association may be called by the President or at the request of any 10 members.
C) Annual Meeting. The Annual Meeting of the Association shall be regular meeting held in November.

ARTICLE IV. FISCAL MANAGEMENT

A) The fiscal year of the Association shall be from January 1 to December 31 of each year.
B) The Treasurer shall maintain a written accounting of all Association funding in a manner acceptable for audit.
C) A full and clear accounting of all Association funds shall be available to the membership. Such accounting shall include, but not be limited to, periodic reports to the membership by the appropriate fiscal officers, and periodic audits by officers appointed for that purpose or by independent auditors.
D) A year-end accounting report shall be prepared by the Treasurer for the membership and for the new Treasurer at the January regular mooting.

ARTICLE V. EXECUTIVE BOARD

A) The Executive Board shall be comprised of the Association President, Vice-President, Secretary, Treasurer, and Member-at-Large.
B) The Executive Board shall meet to discuss issues and act upon recommendations of the Association membership.
C) A majority of members in attendance at the Executive Board meeting shall constitute a quorum for the transaction of business.

ARTICLE VI. AMENDING THE BY-LAWS

A) Proposing. All proposed changes to the By-Laws must be submitted in writing to the Executive Board at least 10 days prior to a regular meeting.
B) Reading/Hearing. At the next regularly scheduled meeting there shall be a public reading and hearing on proposed changes.
C) Vote Required. A simple majority vote of the membership attending a regular meeting, held at least one month after the reading/hearing, shall be required to change the By-Laws.
